Complete Hungarian corporate services
We are your trusted partner for corporate structuring in Hungary. We help Hungarian founders and international businesses choose the right legal form, from the limited liability company (Kft.) to the company limited by shares (Zrt.), align ownership and governance through members’ agreements and a clear management structure, and stay fully compliant from day one: registration with the Court of Registration (Cégbíróság), tax and VAT registration with the National Tax and Customs Administration (NAV), and ongoing reporting, registered seat and corporate support as your business grows.
Build a business that is tax-efficient, compliant, fundable and ready to grow in Hungary. Your legal form shapes your liability, who controls the company, how profits are taxed under Hungary’s 9% corporate income tax regime, your access to investment and incentives, and your options at exit. Choosing the right entity and governance framework at the start avoids costly, court-registered amendments later.
01
Handle electronic registration with the Court of Registration for Kft., Zrt. and Nyrt. companies, as well as branch offices and commercial representative offices of foreign companies. This covers company name and registered seat checks, a deed of foundation or articles of association drafted and countersigned by a Hungarian attorney, the initial capital structure (minimum HUF 3 million for a Kft., HUF 5 million for a Zrt. and HUF 20 million for a Nyrt.), and the company’s tax number and EU VAT number from NAV.
02
Assess and recommend the right vehicle for your plans: sole trader (egyéni vállalkozó), limited partnership (Bt.), general partnership (Kkt.), Kft., Zrt., or a Hungarian branch of your existing foreign company. Our recommendation weighs liability, tax regime (standard corporate tax or the small business tax, KIVA), funding needs and scalability.
03
Design tax-efficient Hungarian and cross-border group structures, including mergers, demergers, conversions between company forms, asset contributions and share exchanges under the Hungarian Transformation Act (Act CLXXVI of 2013), using the preferential tax treatment available under the Corporate Tax Act where the conditions are met.
05
The right governance in place: managing directors (ügyvezető) for a Kft., a board of directors or sole CEO for a Zrt., supervisory boards and statutory auditors where required or useful, internal policies, and, for listed companies, alignment with the Budapest Stock Exchange Corporate Governance Recommendations, covering risk oversight, conflicts of interest and remuneration.
06
Draft bespoke members’ and shareholders’ agreements that sit alongside your registered deed of foundation, covering transfer restrictions, drag-along and tag-along rights, call and put options, deadlock, exit and dispute resolution before the Hungarian courts or arbitration.
07
Manage ongoing obligations from day one: registering changes with the Court of Registration, maintaining the register of members or share register, beneficial ownership (UBO) reporting, filing annual financial statements by 31 May through the electronic filing portal (e-beszámoló), corporate tax returns, and registered seat services (székhelyszolgáltatás) with mail handling.
Experienced, strategic and commercially minded support from our Budapest office. We act as your outsourced strategic partner, with cross-border experience across Hungary, the UK, Ireland, the wider EU and beyond.
Our specialists guide you to the right Hungarian legal form, usually a Kft., sometimes a Zrt. or a branch, and advise on group restructurings and tax planning under Hungary’s corporate tax, KIVA and local business tax rules. With practical knowledge of Court of Registration procedure, the Hungarian Civil Code (Act V of 2013) and NAV requirements, we make sure your setup supports growth and limits risk from launch.
We align ownership through tailored members’ agreements and management frameworks that bring owners, directors and operations together on growth, exits and disputes. We bridge Hungarian corporate documents and the commercial expectations of international investors, so nothing is lost between the registered deed and the deal you agreed.
From registration, tax number and company e-gateway (Cégkapu) setup to UBO reporting, registered seat, bookkeeping, annual reports and ESG obligations, we handle compliance proactively. That keeps you audit-ready and helps you avoid NAV penalties and Court of Registration legality supervision proceedings.

Corporate structuring is the design of your business’s legal, ownership and operational framework for tax efficiency, liability protection and growth. In Hungary it also means meeting the requirements of the Civil Code and the Company Registration Act (Act V of 2006), choosing the right tax regime, and having documents the Court of Registration will accept first time.
We weigh liability, tax, funding needs and scalability to recommend a sole trader, partnership (Bt. or Kkt.), Kft., Zrt. or branch. The Kft. is Hungary’s most popular form: it needs HUF 3 million in share capital, limits members’ liability to their contributions, can have a single member and can be 100% foreign-owned.
We manage the full process: name and seat checks, attorney-drafted and countersigned founding documents, electronic filing with the Court of Registration, registered seat, the tax number and EU VAT number from NAV, and UBO reporting through your bank. Using the template deed, a Kft. can be registered in around one business day; standard registration takes up to 15 working days. Founders can complete the process remotely through a power of attorney.
Through bespoke members’ and shareholders’ agreements, advice on management and supervisory board structures, and clear internal policies, we align owners on voting rights, profit sharing, exits and disputes, and, for listed companies, the Budapest Stock Exchange Corporate Governance Recommendations.
