Complete Indian corporate services
We are your trusted partner for corporate structuring in India. We help Indian founders, NRIs and international businesses choose the right structure under the Companies Act 2013, from a private limited company or LLP to a wholly owned subsidiary, align ownership and governance through shareholders’ agreements and board setup, and stay compliant from day one: incorporation with the Ministry of Corporate Affairs (MCA), foreign investment reporting to the Reserve Bank of India (RBI), PAN, TAN and GST registration, and ongoing secretarial support.
Build a business that is tax-efficient, compliant, fundable and ready to grow in India. Your structure affects liability, control, tax under the new Income-tax Act 2025, foreign investment rules, investor confidence and your exit options. Getting the entity and governance right early avoids costly restructuring and regulatory issues later.
01
Incorporation through the MCA’s SPICe+ integrated form for private limited companies, one person companies (OPCs), public companies and LLPs, as well as liaison, branch and project offices of foreign companies. This covers name approval, the Memorandum and Articles of Association, initial share capital, director identification numbers (DIN) and digital signatures, and PAN, TAN, GST and EPFO/ESIC registration.
02
Assess and recommend the right vehicle: sole proprietorship, partnership firm, LLP, OPC, private limited company, public company, or a liaison, branch or project office for foreign companies. Our advice weighs liability, tax, foreign investment rules, funding needs and scalability.
03
Design tax-efficient Indian and cross-border group structures, holding companies, mergers, demergers, slump sales and conversions (for example, from private company to LLP), including NCLT schemes of arrangement and the faster “fast-track” merger route where available, and cross-border mergers under FEMA rules.
05
Set up boards and committees in compliance with the Companies Act 2013, including independent and women directors where required; audit and nomination committees; corporate social responsibility (CSR) committees for qualifying companies; related-party transaction policies; and, for listed companies, compliance with SEBI’s Listing Obligations and Disclosure Requirements.
06
Draft bespoke shareholders’ agreements covering rights, transfer restrictions, pre-emption, tag-along and drag-along rights, exits and dispute resolution, and make sure key terms are reflected in the Articles of Association so they are enforceable, and that pricing complies with FEMA rules for foreign shareholders.
07
Manage ongoing obligations: board and general meetings, statutory registers, annual filings with the Registrar of Companies (AOC-4 and MGT-7), director KYC, significant beneficial owner (SBO) declarations, the commencement of business declaration, foreign investment filings with the RBI (FC-GPR and the annual FLA return), and registered office support.

Corporate structuring is the design of your business’s legal, ownership and operational framework for tax efficiency, liability protection and growth. In India it also means meeting the Companies Act 2013, the foreign exchange rules (FEMA) for any foreign investment, and the new Income-tax Act 2025 from day one.
We weigh liability, tax, foreign investment rules, funding needs and scalability to recommend a proprietorship, partnership, LLP, OPC, private limited company or a liaison or branch office. The private limited company is the most popular choice and the one investors usually expect: it needs at least two directors and two shareholders, has no minimum share capital, and gives limited liability. Foreign companies most often set up a wholly owned subsidiary as a private limited company.
We manage incorporation through SPICe+, including name approval, the Memorandum and Articles, DINs and digital signatures, and PAN, TAN, EPFO and ESIC registration, followed by GST registration, bank account opening and, for foreign-owned companies, reporting the share allotment to the RBI within 30 days. Incorporation typically takes one to three weeks once documents are ready.
Through bespoke shareholders’ agreements reflected in the Articles of Association, board and committee structures, and clear policies, we align stakeholders on voting rights, dividends, exits and disputes, in line with the Companies Act 2013 and, for listed companies, SEBI rules.
