Complete Irish corporate services
We are your trusted partner for corporate structuring in Ireland. We help Irish founders and international businesses choose the right structure under the Companies Act 2014, from the private company limited by shares (LTD) to the DAC and PLC, align ownership and governance through shareholders’ agreements and board setup, and stay fully compliant from day one: registration with the Companies Registration Office (CRO), tax registration with Revenue, beneficial ownership filing with the RBO, and ongoing company secretarial support.
Build a business that is tax-efficient, compliant, fundable and ready to grow in Ireland. Your structure affects liability, control, how profits are taxed under Ireland’s 12.5% trading rate, your access to investment and reliefs, investor confidence and your exit options. Getting the entity and governance right early avoids costly restructuring later.

We handle CRO incorporation through the CORE online system for LTDs, DACs, PLCs, companies limited by guarantee (CLGs) and unlimited companies, as well as Irish branches of foreign companies. This includes name checks, the constitution, initial share structure, directors and company secretary, and the EEA-resident director requirement (or the alternative bond or Revenue-supported certificate).
03
We design tax-efficient Irish and cross-border group structures, holding companies, mergers, divisions, share-for-share exchanges, hive-downs and simplifications, including members’ voluntary liquidations, using available reliefs such as capital gains tax group relief, the participation exemption and stamp duty reliefs.
05
We set up boards, board committees, policies and evaluations, aligned with directors’ duties under the Companies Act 2014 and, for listed companies, the Irish Corporate Governance Code, covering diversity, risk oversight, the directors’ compliance statement and remuneration.

We manage ongoing obligations: the annual return (Form B1) with financial statements, changes in directors and secretary, beneficial ownership filings with the RBO, statutory registers and minutes, a Dublin registered office address and mail forwarding, from day one.

Corporate structuring is the design of your business’s legal, ownership and operational framework for tax efficiency, liability protection and growth. In Ireland it means meeting the requirements of the Companies Act 2014, the CRO and Revenue from day one, and choosing a structure that suits Ireland’s tax regime and your investors.
We weigh liability, tax, funding needs and scalability to recommend a sole trader, partnership, LTD, DAC, CLG or branch. The private company limited by shares (LTD) is the most popular: it has no minimum share capital, can have a single director (with a separate company secretary) and a single shareholder, and gives limited liability. A DAC suits companies that need a fixed objects clause or plan to issue debt securities, and a CLG suits charities and not-for-profits.
We manage full CRO incorporation, including name checks, the constitution, share allotments, director and secretary appointments and the EEA-resident director requirement. We then handle Revenue registration for corporation tax, VAT and PAYE, and file beneficial ownership details with the RBO within five months of incorporation.
Through bespoke shareholders’ agreements, board structure advice and clear policies, we align stakeholders on voting rights, dividends, exits and disputes, in line with directors’ duties under the Companies Act 2014 and, for listed companies, the Irish Corporate Governance Code.
